1. ORGANIZATION STATUS

The Giving Room is a donation platform managed by The Green Room Productions, Inc. We are NOT a non-profit organization, nor are we directly affiliated with any non-profit or charitable organization. We function solely as a conduit to facilitate donations to various charitable organizations.

2. DONATION ROUTING

All contributions made through The Giving Room platform are delivered to the charitable organizations indicated by us at the time the donation is made. The charitable organizations we support may change without prior notice as we regularly select different charities when we visit various cities around the world. As such, we cannot guarantee which specific charity your donation will ultimately be contributed to at any given time.

3. FEE STRUCTURE

100% of all donations, after platform fees and payment processing fees are deducted, are contributed to the designated charitable organizations. While it takes time, cost, and effort on our part to manage the platform and process contributions, The Green Room Productions, Inc. and The Giving Room do not benefit financially or otherwise from any donations we receive.

4. DONATION TYPE

All donations are accepted as one-time donations only. We do not accept or process recurring donations.

5. TAX CONSIDERATIONS

While we provide a donation receipt, we CANNOT guarantee your donation will be tax-deductible as we are not a charitable organization. Tax deductibility depends on the status of the receiving charitable organization and applicable tax laws in your jurisdiction. We recommend consulting with a tax professional regarding the tax implications of your donation.

6. REFUND POLICY

Donations made through our platform are quickly transferred to the charitable organization upon completion of the transaction. We are UNABLE to process any refunds once a donation has been made. All donations should be considered final.

7. PROCESSING DELAYS

There may be processing delays and/or issues with the contribution platform and/or payment processing platform which may cause your contribution to be delayed before it is delivered to the charity. We make NO GUARANTEES on the contribution timeline or method.

8. PRIVACY POLICY

Besides the necessary steps to process donations, we do not use, share, or sell any donor information. Furthermore, we do not use any donor information for marketing or sales purposes. By using The Giving Room platform, you consent to the minimal collection and use of your information for the sole purpose of processing your donation.

9. LIMITATION OF LIABILITY

We have built this platform to give back to the communities we visit as we put on productions. The Green Room Productions, Inc. is not liable for any errors or problems caused by the donation platform or the payment processing platform; however, should you face any issues, we are more than glad to do our best to help. 10. DISPUTE RESOLUTION

Any dispute, claim, or controversy arising out of or relating to this Disclaimer or the use of The Giving Room platform shall be settled by binding arbitration in San Diego County, California, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. By using The Giving Room platform, you expressly waive any right to a trial by jury in any dispute, action, or proceeding.

11. CHARITABLE ORGANIZATIONS

While we do not have a comprehensive vetting process to identify charities, we make our best effort to work with reputable local charities that have a track record of meaningful impact in the areas they serve. We are not responsible for the use of funds once they are transferred to the charitable organization, and we make no representations or warranties regarding the activities, legitimacy, or tax-exempt status of any charitable organization to which donations are routed.

12. USER REPRESENTATIONS AND WARRANTIES

By making a donation through The Giving Room platform, you represent and warrant that: (a) you are at least 18 years of age or have the consent of a parent or guardian; (b) you have the legal right to make the donation; (c) all information you provide is accurate and complete; and (d) the funds used for the donation are your own and not obtained through fraudulent or illegal means.

13. INTELLECTUAL PROPERTY

All intellectual rights on the platform are owned by The Green Room Productions, Inc. in connection with donation platform and payment processing services. All content, features, and functionality on The Giving Room platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of The Green Room Productions, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

14. GOVERNING LAW AND JURISDICTION

This Disclaimer and any disputes relating to your use of The Giving Room platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

15. MODIFICATIONS TO DISCLAIMER

Terms indicated here may be modified without notice; however, the most up-to-date version will always be available on this platform. By continuing to access or use The Giving Room platform after any revisions become effective, you agree to be bound by the revised Disclaimer.

16. SEVERABILITY AND APPLICABILITY

These terms are applicable where enforceable, and should any local or regional law conflict with them, the local or regional law would override what's stated here without invalidating the rest of this disclaimer. If any provision of this Disclaimer is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render this Disclaimer unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

17. FORCE MAJEURE

The Green Room Productions, Inc. and The Giving Room shall not be liable for any failure to perform obligations hereunder where such failure results from any cause beyond our reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, acts of God, terrorist acts, natural disasters, pandemics, riots, wars, labor disputes, government restrictions, or other events or circumstances outside our control.
